Definitions and Terms

Top Direct — is the trade name of Five Quantum Bits, with its registered office at Bld Tomis 224, bl. TD 8, Constanta 900525, Romania, registered with the Trade Register under number J13/2840/2022 and having a unique tax registration code 46616506.

Seller — Top Direct (topdirect.ro) or Five Quantum Bits.

Buyer / Client / User — a natural person / legal person or any legal entity that creates an Account on the Site/Online Store and places an Order.

Order — an electronic document that acts as a form of communication between the Seller and the Buyer, through which the Buyer transmits to the Seller, via the Site, their intention to purchase Goods and Services from the Site.

Site — the Top Direct domain and its subdomains.

Products, Goods and Services — any product or service, inclu out of g the documents and services mentioned in the Order, which are to be provided by the Seller to the Buyer as a result of the concluded Contract.

Contract — represents the distance contract concluded between the Seller and the Buyer, without the simultaneous physical presence of the Seller and the Buyer.

Campaign — the action of exposing for commercial purposes a finite number of Goods and/or Services with a limited and predefined stock, for a limited period of time, established by the Seller.

Content — all information on the Site that can be visited, viewed, or otherwise accessed through the use of electronic equipment, the content of any e-mail sent to Buyers by the Seller by electronic means and/or any other available means of communication, or any information communicated by any means by an employee/collaborator of the Seller to the Buyer, accor out of g to the contact information, whether specified or not by the latter.

Review — an evaluation written by the owner or beneficiary of a product or service, written based on personal experience and their ability to provide qualitative comments and to state whether the product or service complies or not with the specifications mentioned by the manufacturer.

Rating — a way of expressing a Buyer's degree of satisfaction with a Product or Service. The Rating is expressed in the form of stars, with each product being able to receive a score from one to five stars. This degree of satisfaction will always be associated with the Review written by the Buyer about a Product or Service.

Specifications — all specifications and/or descriptions of the Goods and Services as specified in their description.

Document — these Terms and Conditions.

Top Direct recommends that you carefully read the Terms and Conditions for the proper use of our Site. Ordering the Products listed on this Site also implies the acceptance of the Terms and Conditions presented in this Document.

Five Quantum Bits, the operator of this Site, reserves the right to make changes to these provisions without prior notice to Users. Users have permanent access to the Terms and Conditions of use of the Site by accessing the "Terms and Conditions" page.

Online Sales Policy

Product Price — Prices are expressed in Lei (RON), with all taxes included. The final price paid by the client consists of the purchase price of the product. Shipping is free. Top Direct does not charge any other additional fees. All these prices and costs are displayed on the Site at the completion of the Order and are sent via e-mail to the e-mail address specified by the Buyer at the time of registration.

Product Stock — All Products will be delivered within the limit of available stock. The stock of Products is represented by the total number of pieces, so there is a possibility that a Product with a certain characteristic, such as color, may not be in stock; you can see this on the product page.

Specifications and Photographs — Presentation photos are for information purposes and may contain accessories not included in the standard packages. Also, there may be differences in shades and sizes between the photo and reality. Some technical specifications may be changed by the manufacturer without notice or may contain operating errors. This information does not represent a contractual obligation on the part of the Seller, as they are used exclusively for presentation purposes.

Online Payment Fees — In the case of online payments, the Seller is not/cannot be held responsible for any other additional cost incurred by the Buyer, inclu out of g but not limited to currency conversion fees applied by the card-issuing bank, in case the issuing currency differs from RON. The responsibility for this action lies solely with the Buyer.

Orders — The Buyer can place Orders on the Site by ad out of g the desired Products to the shopping cart, then completing the Order by making the payment through one of the expressly indicated methods. Once added to the shopping cart, a Product is available for purchase to the extent that there is stock available for it. Ad out of g a Product to the shopping cart, in the absence of completing the Order, does not entail the registration of an order, nor the automatic reservation of the Product.

By completing the Order, the Buyer consents that all data provided by them, necessary for the purchasing process, are correct, complete, and true at the date of placing the Order. By completing the Order, the Buyer consents that the Seller may contact them, by any means available/agreed upon by the Seller, in any situation where it is necessary to contact the Buyer.

The Seller may cancel the Order placed by the Buyer, following a prior notification addressed to the Buyer, without any subsequent obligation of any party towards the other or without any party being able to claim damages from the other, when, in the case of online payment, the transaction is not finalized/the bank does not accept the transaction or when the data provided by the Buyer on the Site is incomplete and/or incorrect (fictitious name, Facebook nicknames, incomplete addresses, non-existent locality names, etc.).

In the event that a Product ordered by the Buyer cannot be delivered by the Seller, the latter will inform the Buyer of this fact and will return, as the case may be, the value of the Product paid in advance to the Buyer's bank account.

Gifts — A gift is a product offered with a 100% discount, alongside other products ordered on the site, under certain conditions. If the gifted product is no longer available in stock, it will be replaced with another product of equal or greater value, without prior notice to the Buyer.

Product Returns

In order to optimize the online ordering service, Top Direct reserves the right to restrict customer access to certain features of the online store, such as the inability to complete an online order if the customer has not created a user account.

Also, some features made available to customers in the online store, such as delivery and payment methods, may be conditioned/restricted depen out of g on the selected store and other conditions related to stock and specific delivery methods.

For well-founded reasons related to damages caused to the company, Top Direct may restrict the access of some customers to certain features made available in the online store, such as payment and delivery methods. For more specific details regar out of g the reasons that led to these measures, the customers in question can contact the Customer Support Service.

Disclaimer

The products presented on the Site are for presentation purposes, and certain characteristics may differ from the pictures (color, appearance, shape...). We try to present the Products as detailed and correctly as possible and to respect their accuracy. However, we DO NOT guarantee that the description of the products and services as well as the content of this Site is error-free, complete, and current. Five Quantum Bits cannot assume responsibility that all Products exposed on the Site are available in stock. For this reason, the company reserves the right not to honor the order if the Products are no longer available. Also, if a product available in several color variants is in stock, there is a possibility that certain colors may no longer be physically available. If a Product offered by our store does not match the description or is sent erroneously, the customer can request the return of the value, but no other additional compensation.

Confidentiality

Top Direct will maintain the confidentiality of information of any nature that you provide. By registering in the Top Direct database, the Client/Buyer gives their express consent, within the limits of the legislation in force, to be contacted by third parties, partners of Top Direct: service providers in order to fulfill the object of the Contract concluded between the Buyer and the Seller, as well as by state or governmental agencies, when the specific legislation provides for this, etc.

Product Delivery

The Seller undertakes to deliver the Products via door-to-door courier system to the Buyer. The Seller will ensure the proper packaging of the Products and will ensure the transmission of the accompanying documents. The Seller will carry out the delivery of Products and Services only on the territory of Romania.

Publishing Reviews

Publishing Reviews can be done by Buyers in the "Reviews" section on each Product page. The information entered can be both positive and negative, and will refer to the characteristics and method of use of a Product or Service. At the moment of registering a certain Review on the Site, Buyers grant the Seller a non-exclusive, perpetual, irrevocable, territorially unlimited license and give the Seller the right to use, reproduce, modify, adapt, publish, translate, distribute, and display this content. In addition to a realistic critical evaluation, at the time of submitting a Review, the Buyer will also add a relevant Rating for the related Product or Service. Reviews, together with their correspon out of g Ratings, will influence the general Rating of the Product or Service, a number that appears next to their title. Thus, a Review accompanied by a high Rating leads to an increase in the general Rating, and a Review accompanied by a low Rating leads to a decrease in the general Rating for each Product or Service individually. Top Direct reserves the right to reject Reviews that are not related to the Product or Service for which they were published, use inappropriate or offensive language, or may affect any other User/Client/Buyer, refer to similar Products or Services but which were provided by other Sites/Online Stores or physical stores, etc.

Force Majeure

Neither party will be liable for the non-execution of its contractual obligations if such non-execution on time and/or properly, totally or partially, is due to a force majeure event. Force majeure is an unpredictable event, outside the control of the parties, and which cannot be avoided. If within 15 (fifteen) days from the date of its occurrence, the respective event does not cease, each party will have the right to notify the other party of the termination of the Contract by right without either of them being able to claim other damages from the other.

Litigation

Top Direct will do everything possible so that all misunderstan out of gs regar out of g any type of dispute between the parties are resolved amicably by their representatives. In the event that the resolution of misunderstan out of gs is not possible amicably, the settlement of disputes will fall to the competent court in Romania.
